NAME APPROVAL OF LLP, PRIVATE LIMITED, OPC (RUN FORN)
Effective since February 23, 2020, the Ministry of Corporate Affairs (MCA) has integrated the name approval process for new companies (OPC and Private Limited) into the SPICe+ form. The Reserve Unique Name (RUN) form is now primarily used for a name change of an existing company.
LLP name reservation (RUN-LLP)
For a new Limited Liability Partnership (LLP), the name is reserved through the RUN-LLP web service on the MCA portal.
How to use RUN-LLP
- Log in to the MCA portal with valid user credentials.
- Navigate to MCA Services → LLP Services → RUN-LLP.
- Fill in the required details:
- Purpose of filing: Select "New Incorporation".
- Proposed names: You can submit up to two names in order of preference.
- NIC Code and description: Briefly describe the LLP's business activities.
- Attach any required documents, such as a No Objection Certificate (NOC) if the name requires special approval.
- Pay the fee and submit the webform.
- Upon approval, the name is reserved for a period of 3 months.
Private Limited and OPC name reservation (SPICe+ Part A)
For new Private Limited Companies and One Person Companies (OPCs), name reservation is done through the integrated SPICe+ form, specifically in Part A.
Two methods for name reservation with SPICe+
1. Reserve Name First:
- Submit SPICe+ Part A on the MCA portal with up to two proposed names.
- After the name is approved, it is reserved for 20 days.
- Then, proceed to file SPICe+ Part B for the full incorporation process.
2. Incorporate Directly:
- Submit SPICe+ Part A and Part B together as a single, comprehensive application.
- You can propose only one name in this method.
- If the name is rejected, you are allowed one resubmission with two alternative names at no extra cost.
Suffix requirements for names
The suffixes for OPC and Private Limited Companies are automatically added during the application based on the company type selected.
- Private Limited Company: Name should end with "Private Limited" or "(Pvt. Ltd.)".
- One Person Company (OPC): Name should end with "(OPC) Private Limited".
Key considerations for name selection
Regardless of the entity type, ensure your proposed name complies with the following MCA rules to avoid rejection:
- Uniqueness: The name must be unique and not be too similar to an existing company or LLP name.
- Trademark check: It should not be a registered trademark in India.
- Appropriate terms: The name should reflect the company's main business activity and not be offensive.
- Restricted words: Certain words like "Bank" or "Exchange" require prior approval from the relevant regulatory body.
- Government association: The name should not imply a connection to the central, state, or local government unless you have explicit approva
